Formation

  1. DEPARTMENTS: At the core of our organization are departments composed of Associate members who perform the essential tasks and duties necessary for the operation of the organization. Any changes made to the functions or term of a department will be determined and approved by an executive committee as defined in these articles and bylaws.
  2. PRESIDENT-ELECT: Qualified by the Board of Directors and elected by the majority vote of all the members to a three year term (first year as President-Elect, second year as President, and third year as Past President) according to Section 501(c)3 of the IRS Corporations Tax Code. The President-Elect oversees the daily operations of the department, insuring the compliance of regulatory requirements and internal protocol and procedures throughout the departments.
  3. PRESIDENT: Chairman of the Board, presides over the meetings of the board and conducts its business in an orderly fashion. When the group is not in session, duties include acting as the primary representative and spokesperson for any and all public relations. 
  4. PAST PRESIDENT: Responsible for overseeing the Presidential Cabinet and responsible for the development, implementation and management of the organization’s corporate security vision, strategy and programs. They direct staff in identifying, developing, implementing and maintaining security protocols across our infrastructure to reduce risks, respond to incidents, and limit exposure to liability in all areas of financial, physical, and personal risk; establish appropriate standards and risk controls associated with intellectual property.
  5. VICE PRESIDENTS: Qualified by their department a Vice President will be elected to a term of 1 year. Their primary duty is to act as a representative of their class, ensuring the compliance of regulatory requirements for their department. Each department shall qualify one Vice President (according to Section 501(c)3 of the IRS Corporations Tax Code)
  6. OFFICERS: Qualified by the board of directors and elected by the Associate class and Affiliate class of each department to a four year term. Officers are the administrators of each department and are responsible for the compliance of internal protocols and procedures. The board may qualify and appoint Officers as they see necessary, however any Officer delegated other than to represent a department may or may not be given a seat on the board of directors, but may participate in other committees and functions as set forth in these articles and bylaws.
  7. REPRESENTATIVES: Each department may be asked to qualify one representative for every meeting of the board, who can properly represent their departments’ knowledge and abilities of the current topic being discussed by the board if applicable.
  8. BOARD OF DIRECTORS: Can seat no more than 99 people: Including the President, President-Elect, Past President, and a Vice President and Officer from each department, also any person or persons delegated by the board and approved by the members to occupy a seat so as long as it seats an odd number. Subject to the provisions of the IRS Corporations Code and any limitations in the Articles of Incorporation and Bylaws relating to action required or permitted to be taken or approved by the members of this corporation, the activities and affairs of this corporation shall be conducted and all corporate powers shall be exercised by or under the direction of the Board of Directors. It shall be the duty of the Board of Directors to: Perform any and all duties imposed on them collectively or individually by law, by the Articles of Incorporation of this corporation, or by these Bylaws. Appoint and remove, employ and discharge, and except as otherwise provided in these Bylaws, prescribe the duties and fix the compensation, if any, of all officers, agents and members of the organization; Supervise all officers, agents and employees of the corporation to assure that their duties are performed properly; Meet at such times and places as required by these Bylaws; Register their addresses with the Secretary of the organization.
